Terms of Sale

1. Preamble

These Terms of Sale (hereinafter the "TOS") govern the transactions carried out by Users within the Werugo mobile application (hereinafter the "App"), published by WERUGO LIMITED (hereinafter "Werugo").

They supplement the Terms of Use and the Privacy Policy.

2. Role of Werugo

Werugo acts as a technical intermediary connecting consumer Users with Professionals (restaurants, activity operators, event organisers, etc.) offering services bookable through the App. The service contract is entered into directly between the User and the Professional. Werugo is not a party to that contract.

In addition, Werugo provides its Users with a technical payment processing service and with the management of Group Pools, under the conditions set out below.

3. Seller Identification

The identity of the Professional (registered name, address, contact details, etc.) is displayed on the page of each Offer. It is this Professional who sells the service and who is responsible for its proper performance.

4. Offers and Prices

The essential characteristics of each Offer (type of service, date, time, location, price, specific conditions) are displayed in the App before any Reservation. Prices are shown in euros, all taxes included.

Werugo reserves the right to charge service fees, which are where applicable shown separately and included in the total amount charged to the User before confirming the Reservation.

5. Reservation Process

  1. The User selects an Offer and provides the required information (date, number of people, etc.).
  2. The User validates their order after reviewing the information displayed and accepting these TOS.
  3. The payment or payment authorisation is triggered through our provider Stripe (see section 7).
  4. The User receives a Reservation confirmation in the App and by e-mail.
  5. On the day of the service, a QR code is presented to the Professional for on-site validation.

The Reservation is only final upon receipt of the confirmation by the User and, where applicable, upon acceptance by the Professional. Certain Offers require prior validation by the Professional, who may propose a new time slot (status pending_hours) or decline the request.

6. Group Pools

A Group Pool allows several Users to jointly fund a common Reservation.

The pre-authorisation may appear temporarily on the participant's bank statement. This amount is only charged if the Pool succeeds.

7. Payment

7.1. Payment Service Provider

Payments are processed by Stripe Payments Europe, Limited (1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland), a licensed payment service provider. Werugo does not have access to Users' bank card numbers, which are transmitted and processed exclusively by Stripe.

7.2. Accepted Payment Methods

The App accepts Visa, Mastercard and American Express cards, as well as Apple Pay (iOS) and Google Pay (Android). Additional payment methods may be added at any time.

7.3. Security

All transactions are protected by the 3D Secure protocol in accordance with the European PSD2 Directive (strong customer authentication).

8. Right of Withdrawal — Exception

Important. In accordance with Article 16(l) of Directive 2011/83/EU on consumer rights, the right of withdrawal does not apply to contracts for the provision of accommodation other than for residential purposes, transport of goods, car rental services, catering or services related to leisure activities, if the contract provides for a specific date or period of performance.

Most Offers available through Werugo (table reservations, fixed-date events, time-slotted activities, etc.) fall within this exception. The User expressly acknowledges this absence of a right of withdrawal when confirming their Reservation.

For Offers that do not fall within this exception, the User has a fourteen (14) day right of withdrawal from the conclusion of the contract, which may be exercised by e-mail to contact@werugo.app.

9. Cancellation and Modification

The cancellation conditions specific to each Offer are shown in the App before the Reservation. Unless otherwise specified:

If the Professional cancels the service, the User is fully refunded as soon as possible, without being entitled to any additional compensation from Werugo.

10. Refunds

Refunds are processed by Stripe to the card used for the original payment. The time required to receive the refund depends on the User's bank and may take 5 to 10 business days.

11. Liability

Werugo's liability is limited to its role as a technical intermediary and payment service facilitator. It cannot be held liable for any dispute relating to the reserved service, which falls under the exclusive responsibility of the Professional.

In the event of a dispute between the User and a Professional, Werugo may nevertheless, on a commercial basis, step in to help find an amicable solution.

12. Invoicing

A Reservation receipt is systematically sent to the User after each transaction. Upon request to contact@werugo.app, a nominative invoice may be issued by the Professional or by Werugo, as applicable.

13. Disputes

In the event of a dispute, Users are invited to contact Werugo beforehand in an attempt to resolve the matter amicably. Where applicable, consumer Users resident in the European Union may also use the European online dispute resolution platform at https://ec.europa.eu/consumers/odr.

14. Governing Law

These TOS are governed by the laws of Malta. Any dispute relating to their interpretation or performance shall fall under the jurisdiction of the courts of Malta, without prejudice to the mandatory consumer protection rules available in the User's country of residence.
